PRESIDENT
FRIENDS OF THE UKRAINIAN VILLAGE SOCIETY (FOUVS)

TERM: Elected at FOUVS Annual General Meeting for a two year term

EXPECTATIONS:
The president is expected to understand the organization’s by-laws, policies and procedures, financial and legal situation, and strategic plan. As the board ambassador, the president acts as a spokesperson to the larger community. She/he speaks in public on behalf of the organization and advocates for FOUVS. By modeling appropriate behavior, the president sets high standards for board conduct and intervenes if conflicts of interest or confidentiality issues arise.

RESPONSIBILITIES:
1. Member of the board
2. Provide leadership to the board of directors
3. Chair meetings, develop agenda with executive director
4. Serve ex officio on committees
5. Encourage strategic planning with the executive director
6. Listen to board members and chairs of committees
7. Discuss issues confronting the organization with executive director
8. Evaluate executive director’s and board member performances
9. Monitor financial planning and financial reports with board treasurer, board of directors and executive director
10. Play a role in fundraising activities along with the executive director
11. Work with the board’s nominating committee, the president recruits new board members whose vision aligns with FOUVS
12. Provide guidance to the new president and board of directors following her/his term of office
13. Support the Ukrainian Cultural Heritage Village and serves as FOUVS representative on its councils
14. Know and understands conflict-of-interest and confidentiality policies
15. Be a member in good standing

VICE-PRESIDENT (2 positions)
FRIENDS OF THE UKRAINIAN VILLAGE SOCIETY (FOUVS)

TERM: Elected at FOUVS Annual General Meeting for a one-year and a two-year term

EXPECTATIONS:
The vice-president is expected to understand the organization’s by-laws, policies and procedures, financial and legal situation, and strategic plan. The vice-president can serve as the board spokesperson when the president is unavailable. The vice-president advocates for FOUVS. By modeling appropriate behavior, the vice-president sets high standards for board conduct.

RESPONSIBILITIES:
1. Member of the board
2. Perform president responsibilities when president cannot be available
3. Work closely with board president, staff and executive director
4. Perform other responsibilities as assigned by the board of directors and executive director
5. Know and understands conflict-of-interest and confidentiality policies
6. Be a member in good standing

TREASURER
FRIENDS OF THE UKRAINIAN VILLAGE SOCIETY (FOUVS)

TERM: Elected at FOUVS Annual General Meeting for a two-year term

EXPECTATIONS:
The treasurer is expected to understand the organization’s by-laws, policies and procedures, financial and legal situation, and strategic plan. The treasurer ensures full and accurate books and records of accounts of FOUVS. By modeling appropriate behavior, the treasurer sets high standards for board conduct.

RESPONSIBILITIES:
1. Member of the board
2. Manage the finances of the FOUVS with the executive director, including the board’s review of and action related to, financial responsibilities
3. Regularly report to board on key financial events, trends, concerns, and assessment of fiscal health
4. Participate in the development and provide an annual budget to the board for members’ approval
5. Ensure that finances are used in an efficient and responsible way
6. Ensure development and board review of financial procedures and systems
7. Chair the Finance, Risk and Audit Committee and prepare agendas for its meetings
8. Assist in the selection of an auditor and meet with him/ her annually
9. Know and understands conflict-of-interest and confidentiality policies
10. Be a member in good standing

SKILLS AND QUALITIES:

BOARD OF DIRECTOR – MEMBER AT LARGE (5 positions)
FRIENDS OF THE UKRAINIAN VILLAGE SOCIETY (FOUVS)

TERM: Elected at FOUVS Annual General Meeting for a two-year term (one position will be a one-year term)

EXPECTATIONS:
Members of the board of directors most important duty is to act in the best interests of FOUVS at all times. A director is in a position of trust. Directors must act honestly and in good faith, be loyal to the interests of FOUVS and avoid any conflict of their duty and self-interest.

RESPONSIBILTIES:
1. Member of the board
2. Work with board members to set the mission, strategic objectives, policies, procedures and evaluate progress of FOUVS
3. Ensure FOUVS operates in a fiscally responsible manner and complies with all laws and regulations applying to it. Ensure necessary oversight and allocation of financial resources
4. Select and evaluate the performance of the executive director. Ensure management operates as efficiently as possible and uses the best available systems, policies and administrative practices to do so. Respect the ideas of the executive director on policies and programs that he/she may implement
5. Respect all staff members and refrain from making special requests of staff
6. Bring the concerns of the outside community into FOUVS and represent its constituencies and stack holders
7. Attend board and committee meetings and functions such as special events. Serve on committees or task forces and offer to take on special assignments
8. Have the ability to listen, analyze, think clearly, and work well with people individually, and in a group
9. Make informed, independent decisions and exercise a degree of skill and due diligence that would be expected of a reasonable prudent person
10. Know and understands conflict-of-interest and confidentiality policies
11. Be a member in good standing
